MAS is pleased to announce that it is in discussions relative to expanding its business through a
merger with an existing public company.  This transaction will allow MAS to grow geometrically
within its current vertical applications such that growth prospects for 2005 and beyond will be
monumental.

Management at MAS is excited about the business prospects for growth as well as welcoming
outside Stakeholders to participate in a rapidly expanding market sector.  Although the actual
business models that comprise MAS are not glamorous, they are consistent and secure and
enjoy handsome profit margins that have not changed since the inception of the Company back
in the early 80’s.  In one simple sentence, we are the “automobile junkyard” for the computer,
telephony and networking hardware industry.  We acquire truck loads of inventory at attractive
scrap prices and position the valuable components to sell to a pre-existing and vast customer
base.  The rest we either sell at rock bottom prices through our local POP or recycle for profit.
Our used component sales and computer recycling programs are environmentally responsible.

Although MAS Computers primary focus is national & international sales of used computer,
and telephony, networking components, the company enjoys a retail presence in Orem, UT.
for both new and used computers and accessories.  The goal of the Company is to replicate
the retail model by leveraging the wholesale inventory side of the business.  Our job is to
purchase inventory at attractive prices that might otherwise be considered scrap or antiquated
and offer it to our customer base at fair market prices which can often exceed the original pricing
when the components were new but are now in scarce supply because they are no longer
being manufactured.
Understanding the Industry

Akin to the need for automobile junk yards, MAS provides a wide variety of customers, both
within the industry as well as end users, with hard to find parts at varying prices.  Our strategy
along with similar competitors is to purchase equipment from end users at salvage prices.
Because of our longevity in the business, we immediately sell fast moving components of newly
Acquired inventory to existing customers who are always in the market place for particular items.
Our customers in expansion but not upgrade mode include third world Governments and Utility
companies/infrastructure, telcos and other computer component intensive businesses.  
Demand for their services simply out paces the ability for them to grow and budgets for
upgrading existing hardware is virtually out of the question any time soon.  Continuous repairs
for such installations much less expansion for growing demand is a major challenge.  Although
vastly improved, upgrade cycles for countries outside of North America, Western Europe and
Japan are generally fifteen year cycles as opposed to 3-4 years.  Also, certain import and export
laws do not allow the state of the art equipment to be provided to many countries.  Those few
that have such newer equipment find themselves at a disadvantage as older operating systems
and compatibilities are more the norm.
